Affiliate Terms of Service

1. Agreement to Terms
Section titled “1. Agreement to Terms”By connecting your wallet and accepting affiliate invitations on Redio (“the Platform”), you (“Affiliate”) agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
Redio is technical infrastructure only - a smart contract system that processes commission payments. You are responsible for your own business operations and legal compliance.
2. What Redio Provides
Section titled “2. What Redio Provides”Redio provides:
- Smart contract infrastructure on Solana
- Instant USDC commission payments when merchants process sales
- Transparent, on-chain payment records
- A platform connecting affiliates with merchants
Redio does NOT:
- Control or manage affiliate programs (merchants do)
- Approve your promotional activities
- Ensure you’re compliant with laws
- Guarantee earnings or payment amounts
- Provide legal, tax, or business advice
- Act as your employer or enter into a business relationship with you
3. The Relationship
Section titled “3. The Relationship”3.1 You Work With Merchants, Not Redio
Section titled “3.1 You Work With Merchants, Not Redio”- Each merchant creates their own affiliate program via Redio
- Merchants decide commission rates, terms, and who to work with
- Your relationship is with the merchant, not Redio
- Redio only processes payments via smart contract
3.2 Independent Contractor Status
Section titled “3.2 Independent Contractor Status”You are an independent contractor, NOT an employee of:
- Redio
- Any merchant using Redio
- Any other party
You are responsible for your own:
- Business operations
- Taxes and tax reporting
- Insurance and benefits
- Legal compliance
4. Your Responsibilities
Section titled “4. Your Responsibilities”4.1 Legal Compliance
Section titled “4.1 Legal Compliance”You are solely responsible for complying with all applicable laws, including but not limited to:
FTC Disclosure Requirements (U.S.):
- You MUST clearly and conspicuously disclose your affiliate relationship
- Disclosures must be made BEFORE users click affiliate links
- Use clear language like “I earn a commission if you buy through my link”
- Social media: Use #ad, #affiliate, or #sponsored in visible locations
- Videos: Include verbal + visual disclosures at the beginning
- Blogs/websites: Disclosure at top of post, near affiliate links
Example Disclosures:
- ✅ “This post contains affiliate links. I earn commission on purchases.”
- ✅ “#ad - I’m an affiliate partner and may earn from this link”
- ✅ “Full disclosure: I earn a commission if you buy through my link”
- ❌ Hidden disclosures in footers or fine print
- ❌ Vague terms like “partner” without explaining commission
International Affiliates:
- If promoting to U.S. consumers, you must comply with FTC rules
- Comply with local advertising and disclosure laws in your country
- Research and follow applicable regulations (ASA in UK, etc.)
4.2 Prohibited Practices
Section titled “4.2 Prohibited Practices”You may NOT:
- Make false, misleading, or unsubstantiated claims about products
- Fail to disclose your affiliate relationship
- Use deceptive advertising practices
- Engage in spam (email, comments, etc.)
- Use cookie stuffing, click fraud, or automated bots
- Bid on trademarked terms without permission
- Use typosquatting domains
- Engage in any fraudulent activity
- Violate intellectual property rights
- Promote illegal products or services
- Impersonate merchants or brands
- Create fake reviews or testimonials
4.3 Content and Promotion Standards
Section titled “4.3 Content and Promotion Standards”You are responsible for:
- All content you create (blogs, videos, social posts, etc.)
- Ensuring content is truthful and not misleading
- Following each merchant’s specific guidelines
- Obtaining necessary permissions for content use
- Complying with platform rules (YouTube, Instagram, etc.)
4.4 Tax Obligations
Section titled “4.4 Tax Obligations”You are responsible for:
- Reporting all commission income
- Paying applicable taxes
- Maintaining tax records
- Providing tax information (W-9, etc.) if requested by merchants
- Understanding that commissions may be reported on 1099 forms (U.S.)
4.5 Traffic Sources
Section titled “4.5 Traffic Sources”You must use legitimate traffic sources. Examples:
- ✅ Your own blog, website, or YouTube channel
- ✅ Organic social media content with proper disclosures
- ✅ Email marketing to opted-in subscribers (CAN-SPAM compliant)
- ✅ Paid advertising (with proper disclosures)
- ❌ Bot traffic or click farms
- ❌ Incentivized clicks (“get paid to click”)
- ❌ Spam or unsolicited messages
- ❌ Malware, adware, or deceptive installations
5. Referral Codes and Privacy
Section titled “5. Referral Codes and Privacy”5.1 Your Referral Code (ref_id)
Section titled “5.1 Your Referral Code (ref_id)”When a merchant adds you, they assign a referral code. This code is stored on-chain (public blockchain) and is permanent and immutable.
CRITICAL: Your referral code is PUBLIC and cannot be deleted.
If your referral code contains your real name or other personal information:
- This was the merchant’s choice (or your request)
- You consented to this by accepting the affiliate invitation
- You understand it’s public and permanent
- You accept all privacy risks and consequences
We strongly recommend: Use anonymous codes like “AFF_7G2K” instead of “John_Smith”
5.2 Data Privacy
Section titled “5.2 Data Privacy”Redio stores minimal data on-chain:
- Your wallet address (pseudonymous)
- Referral code (should be anonymous)
- Commission amounts and transaction history
- Timestamps
All on-chain data is public and permanent. Do not expect privacy for on-chain records.
Off-chain data (if you provide it to merchants):
- Merchants may collect email, name, payment info, etc.
- This is governed by the merchant’s privacy policy, not Redio’s
- Redio does not control merchant data practices
6. Merchant Rights
Section titled “6. Merchant Rights”Merchants have the right to:
- Accept or reject you as an affiliate
- Set commission rates and terms
- Remove you as an affiliate at any time
- Withhold or clawback commissions for violations
- Change program terms (subject to their own policies)
- Monitor your promotional activities
- Require specific promotional guidelines
If removed by a merchant, you can no longer earn commissions from that merchant pool.
7. Payments and Commissions
Section titled “7. Payments and Commissions”7.1 How Payments Work
Section titled “7.1 How Payments Work”- Commissions are paid automatically via smart contract when merchants process sales
- Payments are instant (seconds) in USDC on Solana
- You need a USDC token account (created automatically on first payment)
- Payments are transparent and verifiable on-chain
7.2 No Guarantees
Section titled “7.2 No Guarantees”- Redio does NOT guarantee any earnings
- Merchants set commission rates (not Redio)
- Merchants fund their own escrow (not Redio)
- If merchant escrow is empty, payments will fail
- Merchants may remove you at any time
7.3 Commission Adjustments
Section titled “7.3 Commission Adjustments”Merchants may:
- Withhold commissions for fraudulent traffic
- Clawback commissions for refunded orders
- Hold commissions pending investigation of violations
- This is between you and the merchant; Redio does not mediate disputes
8. Blockchain and Wallet Risks
Section titled “8. Blockchain and Wallet Risks”You understand and accept:
- You are responsible for securing your wallet and private keys
- Lost private keys = lost access to funds
- Blockchain transactions are permanent and cannot be reversed
- Smart contracts may have bugs (though security measures are in place)
- Network congestion may delay transactions
- You pay Solana network fees (minimal, ~$0.0001)
9. No Warranties
Section titled “9. No Warranties”Redio is provided “AS IS” without warranties of any kind:
- No guarantee of uptime, functionality, or earnings
- No guarantee merchants will maintain escrow funds
- No guarantee of payment for any particular sale
- No warranty of merchantability or fitness for purpose
10. Limitation of Liability
Section titled “10. Limitation of Liability”TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Redio is not liable for:
- Lost earnings or business opportunities
- Merchant actions (non-payment, removal, etc.)
- Smart contract bugs or vulnerabilities
- Blockchain network issues
- Tax penalties you incur
- Regulatory fines for your non-compliance
- Actions of other affiliates or third parties
- Any indirect, incidental, or consequential damages
Maximum liability is $100 or the amount you earned via Redio in the past 12 months, whichever is less.
11. Indemnification
Section titled “11. Indemnification”You agree to indemnify and hold harmless Redio from any claims, damages, or expenses arising from:
- Your promotional activities
- Your violation of these Terms
- Your violation of any law (FTC, privacy, etc.)
- Content you create
- Your failure to make required disclosures
- Intellectual property violations
- Any third-party claims related to your activities
12. Account Termination
Section titled “12. Account Termination”12.1 Your Right to Stop
Section titled “12.1 Your Right to Stop”You may stop being an affiliate at any time by:
- Ceasing promotional activities
- Requesting merchants remove you
12.2 Redio’s Right to Refuse Service
Section titled “12.2 Redio’s Right to Refuse Service”Redio reserves the right to:
- Refuse service to anyone
- Remove your off-chain profile
- Blacklist your wallet from creating new profiles
Note: On-chain records cannot be deleted, but you can stop using the Platform.
12.3 Merchant Removal
Section titled “12.3 Merchant Removal”Merchants can remove you using the remove_affiliate function, which:
- Sets your status to inactive
- Prevents future commission earnings from that merchant
- Does NOT delete your historical earning records (on-chain)
13. Compliance Best Practices
Section titled “13. Compliance Best Practices”We recommend you:
- Always include clear FTC disclosures
- Maintain records of your promotional activities
- Follow each merchant’s specific guidelines
- Use ethical marketing practices
- Research applicable laws in your jurisdiction
- Keep track of your earnings for tax purposes
- Use anonymous referral codes (not your real name)
14. Dispute Resolution
Section titled “14. Dispute Resolution”Governing Law: These Terms are governed by the laws of [Jurisdiction - e.g., Delaware, United States].
Merchant Disputes: Disputes with merchants are between you and the merchant. Redio does not mediate affiliate-merchant disputes.
Redio Disputes: Claims against Redio shall be resolved through binding arbitration, except for injunctive relief claims.
Class Action Waiver: You waive the right to bring claims as a class action.
15. Changes to Terms
Section titled “15. Changes to Terms”Redio may update these Terms at any time. Continued use constitutes acceptance. We’ll notify you of material changes via:
- Platform notifications
- Email (if provided in your off-chain profile)
16. Entire Agreement
Section titled “16. Entire Agreement”These Terms constitute the entire agreement between you and Redio regarding Platform use.
